ZESA subsidiaries consolidated into single entity

Zimbabwe’s electricity sector is being reorganised with ZESA Holdings, Zimbabwe Power Company (ZPC) and the Zimbabwe Electricity Transmission and Distribution Company (ZETDC) consolidated into a single entity, ZESA (Private) Limited.

According to a public notice signed by T. Chinhengo, ZESA Group Legal Advisor and Corporate Secretary, the restructuring is being implemented in terms of General Notice 1193 of 2026.

The notice said the Mutapa Investment Fund, as shareholder, has appointed an 11-member board for the newly consolidated ZESA (Private) Limited, with the appointments taking effect on April 1, 2026.

Albert Joel Nduna has been appointed board chairman, with Ntokozho Mkandla as vice chairperson.

The board members are Ernest Denhere, Matilda Nyathi, Sugar Chagonda, Cassius Gambinga, Theresa Muchinguri, Nomusa Jowah and Nyasha Hazel Muvimiri.

ZESA Group Chief Executive Officer Cletus Nyachowe and Chief Operating Officer Jan Albert Obeholzer will also serve on the board.

The consolidation brings the three ZESA entities into a single vertically integrated electricity utility, marking a significant change to the group’s corporate structure.

According to the notice, the new structure is intended to advance Zimbabwe’s total electrification and universal access to electricity by 2030 objectives, while supporting the country’s Vision 2030 development agenda.

The restructuring takes effect as Zimbabwe continues to reshape the governance and operating structure of its power utility.
